1. Scope
These General Terms and Conditions ("Terms") apply to all orders placed through the online shop www.corkout.at by consumers and businesses (hereinafter collectively referred to as the "Customer").
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.
A business customer is any natural or legal person, or a partnership with legal capacity, acting in the exercise of its commercial or independent professional activity when entering into a legal transaction.
Any terms and conditions of the Customer that deviate from these Terms shall only apply if expressly accepted by us in writing.

3. Conclusion of Contract
The presentation of products in our online shop does not constitute a legally binding offer but rather an invitation for the Customer to submit an offer.
By clicking the button "Buy Now", "Order with Obligation to Pay", or any equivalent button, you submit a binding offer to purchase the products contained in your shopping cart.
After placing your order, you will receive an automated order confirmation by email. This confirmation merely acknowledges receipt of your order and does not constitute acceptance of your offer.
A purchase contract is concluded only when we:
- send you an explicit order confirmation;
- dispatch the ordered goods; or
- hand the goods over to the shipping provider.
If a product is unavailable despite careful inventory management or cannot be delivered for any other reason, we will inform you without undue delay. Any payments already made will, of course, be refunded.
We reserve the right to reject individual orders for justified reasons, including but not limited to obvious pricing errors, delivery obstacles, or suspected fraudulent or abusive orders.
4. Prices
All prices displayed on our website are stated in Euro (€).
Unless otherwise indicated, all prices include the applicable Austrian Value Added Tax (VAT).
Any additional shipping costs are displayed separately during the checkout process before you submit your binding order.
The applicable price is the one displayed in the online shop at the time the order is placed.
Obvious typographical errors, clerical mistakes, or pricing errors remain reserved. In such cases, we are entitled to withdraw from the contract if the error was apparent to the Customer. Any payments already received will be refunded without undue delay.
5. Payment Methods
We offer the payment methods displayed during the checkout process.
These may include:

Your selected payment method will be charged in accordance with the respective payment provider's procedures.
We reserve the right to exclude certain payment methods in individual cases or to offer only selected payment methods where objectively justified.
6. Retention of Title
The delivered goods shall remain the property of Alpina Trading GmbH until full payment has been received.
7. Protection of Minors
Our product range includes alcoholic beverages.
Alcoholic beverages are sold exclusively to persons who have reached the minimum legal drinking age applicable under the relevant laws.
By placing an order, the Customer confirms that they are legally entitled to purchase alcoholic beverages and that all information provided is complete and accurate.
We reserve the right to carry out appropriate age verification measures and to refuse delivery where there are reasonable grounds to believe that the statutory age requirements have not been met.
8. Delivery and Shipping
Delivery shall be made to the shipping address provided by the Customer during the ordering process.
The available shipping destinations, shipping costs, and estimated delivery times are displayed separately during the checkout process and on our website.
Unless otherwise agreed, delivery shall be made within the delivery period specified in the respective product description. If a product is temporarily unavailable or delivery is exceptionally delayed, we will inform the Customer without undue delay.
Partial deliveries are permitted where reasonable for the Customer. No additional shipping charges will be incurred by the Customer as a result.
If delivery cannot be completed due to incorrect or incomplete address information provided by the Customer, or because of repeated unsuccessful delivery attempts for which the Customer is responsible, the Customer shall bear any additional costs incurred.
9. Transfer of Risk
Where the Customer is a consumer, the risk of accidental loss or accidental deterioration of the goods passes to the Customer, or to a person designated by the Customer to receive the goods, only upon delivery.
If the consumer independently appoints a carrier that has not been proposed by us, the risk passes to the Customer upon handover of the goods to that carrier.
For business customers, the risk passes to the Customer upon delivery of the goods to the designated shipping provider.
10. Transport Damage
Please inspect your delivery for any visible transport damage immediately upon receipt.
If obvious transport damage is identified, we kindly ask you to report it directly to the delivery driver where possible and to notify us without undue delay.
Failure to report transport damage shall not affect your statutory warranty or compensation rights. However, your cooperation helps us assert claims against the shipping provider or transport insurance.
11. Right of Withdrawal
Consumers are generally entitled to the statutory right of withdrawal for distance contracts in accordance with the provisions of the Austrian Distance and Off-Premises Contracts Act (Fern- und Auswärtsgeschäfte-Gesetz – FAGG).

12. Returns
Without prejudice to your statutory right of withdrawal, we kindly ask you, where possible, to return goods in suitable transport packaging and to include all components originally supplied with the order.
This request is solely intended to facilitate the return process and is not a condition for the effective exercise of your statutory rights. Your legal rights remain unaffected.
13. Availability and Vintages
Wine is a natural product. Vintages, labels, bottle designs, and packaging may differ from the images displayed in our online shop due to changes made by the producer.
If the vintage ordered is no longer available, we reserve the right—after informing the Customer in advance—to supply the subsequent vintage of the same wine, provided that its quality, grape variety, origin, and overall character are comparable.
Such substitution will only be made with the Customer's prior consent.
If the Customer does not wish to receive the substitute vintage, or if no comparable vintage is available, any purchase price already paid will be refunded without undue delay.
14. Wine as a Natural Product
Our wines are produced by carefully selected wineries and are subject to the natural influences of climate, vintage conditions, and winemaking methods.
Variations in taste, colour, maturation, or the presence of natural sediment do not constitute a defect but are characteristic of the individuality of each wine.
Natural wines, Pét-Nats (Pétillant Naturel), and unfiltered wines may contain cloudiness or natural yeast sediment. These characteristics are typical of the product and do not represent a quality defect.
If a bottle is defective due to a verifiable production fault (for example, cork taint), the applicable statutory warranty rights shall apply.

15. Warranty
The statutory warranty provisions under Austrian law shall apply.
Where the Customer is a consumer, warranty rights are governed in particular by the provisions of the Austrian Civil Code (ABGB) and, where applicable, the Austrian Consumer Warranty Act (VGG).
Where the Customer is a business, the warranty period for movable goods shall be twelve (12) months from the date of delivery. Business customers must notify us in writing of any obvious defects without undue delay after receipt of the goods.
The warranty does not cover defects resulting from improper storage, improper use, natural ageing, or normal wear and tear.
Nothing in these Terms limits or excludes the mandatory statutory rights of consumers.
16. Liability
We shall be liable in accordance with the applicable statutory provisions for damages caused intentionally or through gross negligence.
In cases of slight negligence involving the breach of an essential contractual obligation (a cardinal obligation), our liability shall be limited to the foreseeable damage typical for this type of contract.
To the extent permitted by law, liability for slight negligence relating to non-essential contractual obligations is excluded.
The above limitations of liability shall not apply to:
- damage resulting from injury to life, body, or health;
- claims arising under applicable product liability legislation;
- fraudulent concealment of defects; or
- any other cases where liability is mandatory under applicable law.
17. Customer Account
Where our online shop allows the creation of a customer account, the information provided during registration must be complete and accurate.
The Customer is responsible for keeping their login credentials confidential and protecting them against unauthorized access by third parties.
Any misuse of a customer account is strictly prohibited.
We reserve the right to suspend or delete customer accounts where justified reasons exist, including violations of these Terms or misuse of our online shop.
18. Product Reviews
Where Customers are permitted to publish reviews or testimonials, they undertake to provide only truthful, accurate, and objective information.
Reviews must not contain unlawful, offensive, discriminatory, defamatory, or misleading content.
We reserve the right to remove reviews that violate applicable laws or these Terms.
19. Intellectual Property
All content available in our online shop—including, but not limited to, texts, product descriptions, photographs, graphics, logos, trademarks, videos, and the overall website design—is protected by copyright, trademark, or other intellectual property laws.
Any use beyond the scope permitted by applicable copyright laws requires our prior written consent.
In particular, the reproduction, publication, modification, distribution, or commercial use of our content without our express written permission is prohibited.
20. Privacy
Personal data is processed exclusively in accordance with the applicable data protection laws.

21. Force Majeure
We shall not be liable for delays in performance or failure to perform our contractual obligations where such delays or failures result from events beyond our reasonable control.
Such events include, but are not limited to:
- natural disasters;
- fire;
- pandemics;
- governmental or regulatory measures;
- strikes or industrial action;
- war;
- terrorist attacks;
- power outages; or
- significant disruptions to supply chains.
If such an event continues for more than four (4) weeks, either party shall be entitled to withdraw from the affected contract.
Any services already rendered shall be settled in accordance with the applicable statutory provisions.

22. Applicable Law
These Terms and Conditions shall be governed exclusively by the laws of the Republic of Austria, excluding the conflict of law rules of private international law and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If the Customer is a consumer, this choice of law shall apply only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.
23. Jurisdiction
For all disputes arising out of or in connection with contractual relationships between Alpina Trading GmbH and business customers, the competent court in Vienna, Austria, shall have exclusive jurisdiction.
For consumers, the statutory provisions regarding jurisdiction shall apply.
24. Consumer Dispute Resolution
We are neither obliged nor generally willing to participate in dispute resolution proceedings before a consumer arbitration board, unless participation is required by applicable law.
Nevertheless, we are committed to resolving any disagreements with our customers directly, fairly, and amicably whenever possible.
25. Severability
Should any provision of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
The invalid or unenforceable provision shall be replaced by the applicable statutory provision. The same shall apply in the event of any unintended gaps in these Terms.
26. Amendments to these Terms and Conditions
We reserve the right to amend these Terms and Conditions where necessary due to changes in applicable laws, technical developments, or the continued development of our products and services.
The version published on our website at the time the contract is concluded shall apply to each order.
Any amendments shall not affect contracts that have already been concluded.

Payment
The purchase price becomes due immediately upon completion of the order.

The delivered goods shall remain the property of Alpina Trading GmbH until full payment has been received.
Security
Payment processing is carried out exclusively through certified payment service providers.
We do not store complete credit card information. Payment data is processed solely by the respective payment service provider in accordance with applicable security and data protection standards.
